Kazakhstan Management Hotel Company LLP, an affiliate of ACCOR S.A. entered into sub-license agreement (and ancillary agreements) with 4A Capital LLC so that 4A Capital LLC can develop and sell individual residential units (“Units”) in connection with the Mövenpick Resort Tsaghkadzor (the “Project”) and operate such Units under the Mövenpick brand in accordance with Mövenpick brand standards.
4A Capital LLC (“Licensee”), is independently owned and operated and is solely responsible for the ownership, development, and operation of the Project (and related Unit sales).
Licensee uses the Mövenpick brand and certain trademarks pursuant to a limited, non-exclusive, non-transferable and non-sublicensable license from Kazakhstan Management Hotel Company LLP (an Accor S.A. affiliate). The Unit owner recognizes that the Units and the Mövenpick Resort Tsaghkadzor may not always be branded under, or associated with, the Mövenpick brand during the Unit owner's entire period of ownership of their Unit. For the avoidance of doubt, no individual residential units (“Units”) have the right to use the Mövenpick brand or have any rights to use the Mövenpick trademarks. Neither Kazakhstan Management Hotel Company LLP nor Accor S.A. makes any representations or guarantees with respect to the Units or the Project and is not responsible for Licensee’s marketing practices, advertising, and sales representations.
4A Capital LLC cannot and reserves the right to not sell any Residences to purchasers where the sale and/or marketing of the Residences to such purchaser would constitute a private or public offer of securities or breach of any applicable laws including any laws and regulations relating to financial services or the sale of real estate with mandatory rental programs.
4A Capital LLC (“Licensee”), is independently owned and operated and is solely responsible for the ownership, development, and operation of the Project (and related Unit sales).
